These Terms and Conditions (“Terms”) govern your access to elysoma.com (the “Site”), your account, and your purchase or use of products and services offered by ELYSOMA Research LLC (“ELYSOMA,” “we,” “us,” or “our”).

By accessing the Site, creating an account, submitting an order, or purchasing a product, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Site or purchase our products.

1. Related Policies

Our Privacy Policy and any shipping, return, product, research-use, or checkout policies posted on the Site are incorporated into these Terms by reference.

If transaction-specific terms displayed at checkout conflict with these Terms, the transaction-specific terms will control solely with respect to that transaction.

2. Research Use Only

All products offered by ELYSOMA (“Products”) are sold exclusively for legitimate laboratory, research, or analytical purposes.

Products are:

• Not for human or animal consumption.

• Not intended for injection, ingestion, inhalation, topical application, or administration by any other method.

• Not intended for clinical, diagnostic, therapeutic, cosmetic, household, or recreational use.

• Not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

• Not food, drugs, dietary supplements, cosmetics, or medical devices.

ELYSOMA is not a pharmacy, compounding pharmacy, outsourcing facility, medical clinic, healthcare provider, or veterinary provider. ELYSOMA does not prescribe products or provide medical, dosing, treatment, reconstitution, or administration advice.

No Product is represented or sold as approved by the U.S. Food and Drug Administration for human or veterinary use. Statements on the Site have not been evaluated by the FDA.

Any use inconsistent with a Product’s research designation is strictly prohibited and constitutes a material violation of these Terms.

3. Eligibility, Age, and Accounts

You must be at least 21 years old and legally capable of entering into a binding contract to use the Site or purchase Products.

An account is required to place an order. You agree to:

• Provide complete, current, and accurate information.

• Maintain the confidentiality of your login credentials.

• Accept responsibility for activity conducted through your account.

• Notify us promptly if you suspect unauthorized access.

• Keep your contact, billing, and shipping information current.

You may not create an account using false information or on behalf of another person without authorization.

We may request reasonable information to verify identity, age, order legitimacy, or compliance with these Terms. We may suspend or close accounts that contain inaccurate information or present a suspected fraud, safety, payment, or compliance risk.

4. Purchaser Representations and Responsibilities

By purchasing a Product, you represent and warrant that:

• You are qualified and competent to handle research materials safely.

• You have appropriate knowledge, facilities, equipment, personal protective equipment, and safety procedures.

• You will use Products only for lawful research or analytical purposes.

• You will comply with all applicable federal, state, and local laws and regulations.

• You will properly receive, store, handle, test, document, and dispose of Products.

• You will not administer or allow Products to be administered to any human or animal.

• You will not use Products in food, drugs, dietary supplements, cosmetics, medical devices, or consumer products.

• You will not purchase Products for personal, household, clinical, therapeutic, veterinary, or recreational use.

• You will not resell, repackage, relabel, export, distribute, or transfer Products to another person without our prior written authorization.

• If purchasing for an organization, you have authority to bind that organization to these Terms.

You accept responsibility for evaluating the hazards, suitability, legality, and proper handling of each Product before use.

ELYSOMA relies on these representations when accepting an order. We may reject or cancel an order when we reasonably believe a Product may be used unlawfully, unsafely, or contrary to these Terms.

5. Product Information and Laboratory Results

We make reasonable efforts to present accurate Product information. However, packaging, labeling, appearance, color, or other nonmaterial characteristics may vary by lot.

Product photographs are provided for general reference and may not show the exact lot received.

Any certificate of analysis, laboratory result, or related document:

• Applies only to the identified lot or sample.

• Reflects the testing method, laboratory, and date stated in the document.

• Is provided for research-information purposes.

• Does not establish safety or suitability for human or animal use.

• Does not guarantee a particular research outcome.

You remain responsible for determining whether a Product is suitable for your research, including any independent testing required by your protocols or applicable law.

Product descriptions, articles, laboratory results, and other Site content do not constitute medical, scientific, regulatory, or legal advice.

6. Orders, Acceptance, and Availability

Submitting an order is an offer to purchase Products under these Terms. An automated confirmation acknowledges receipt of your order but does not necessarily constitute acceptance.

We may accept, reject, limit, place on hold, or cancel an order before shipment for reasons including:

• Product availability.

• Pending, failed, returned, blocked, underpaid, or unauthorized payment.

• Suspected fraud.

• Inaccurate account, billing, or shipping information.

• Compliance or safety concerns.

• Suspected prohibited use or resale.

• Pricing, listing, inventory, payment, or technical errors.

• Quantity limits.

• Events outside our reasonable control.

An order is accepted when we ship it or otherwise expressly confirm acceptance.

If we cancel a paid order before shipment, we will return the amount paid for the canceled Product using the original payment method when technically available or another lawful method when necessary.

We may limit quantities purchased by a person, account, household, organization, payment method, or shipping address.

7. Pricing, Taxes, and Promotions

Prices are displayed in U.S. dollars and may change without notice. A price change will not affect an order already accepted unless the displayed price resulted from an obvious error.

You are responsible for applicable taxes, shipping charges, address-correction fees, and other charges disclosed before completing your order.

Promotions, discounts, and coupon codes:

• May have separate eligibility requirements.

• May not be combined unless expressly stated.

• Have no cash value.

• May be modified, suspended, or discontinued prospectively.

• May be canceled if obtained or used fraudulently or contrary to their stated terms.

We may correct pricing, description, inventory, or technical errors. If an error affects your order, we may cancel the affected item and issue any refund legally due.

8. Payments, Verification, ACH, Cryptocurrency, and Payment Disputes

Payment is due at checkout using an authorized payment method displayed on the Site.

By submitting or approving payment information, you represent that you are authorized to use the selected payment method and authorize payment of the order total, taxes, shipping charges, and any other fees disclosed before completing the order.

Payments are processed by third-party providers. ELYSOMA currently offers Pay by Bank or ACH payments through Link Financial Technologies, Inc. (“Link Money”) and cryptocurrency payments through ForumPay. Available payment methods may change.

Your use of a payment provider is also subject to that provider’s applicable terms, privacy policy, authorization language, and technical requirements.

Pay by Bank or ACH Through Link Money

When you select Link Money and approve the payment within its checkout interface, you authorize Link Money to arrange an electronic debit from the eligible bank account you select for the exact amount displayed at checkout. You also authorize Link Money to process any permitted return, reversal, refund, correction, or other necessary adjustment by electronically crediting or debiting the selected account as applicable.

You represent that:

• You are an owner or authorized user of the selected bank account.

• The account information you provide or approve is complete and accurate.

• The payment complies with applicable law.

• Sufficient available funds will be maintained to complete the payment.

All account connections and payment requests remain subject to authorization by Link Money, its service providers, and the applicable financial institutions.

Approval or authorization of a Pay by Bank transaction does not necessarily mean the payment has completed final settlement. A payment may remain pending, fail, be rejected, or be returned after initial authorization.

We may hold an order until Link Money indicates that the payment has succeeded, settled, or otherwise received the status required by ELYSOMA for fulfillment. We may cancel an order when payment fails, is rejected, or is returned before shipment.

If a payment is returned or reversed after an order has shipped, the unpaid order balance remains due, except to the extent the return or reversal resulted from an unauthorized transaction or another circumstance protected by applicable law. We may suspend the associated account and pursue payment through lawful means.

ELYSOMA does not receive or store the login credentials or password used to access your financial institution.

Cryptocurrency Through ForumPay

Prices and order totals are established in U.S. dollars. When you select ForumPay, the cryptocurrency amount displayed is calculated using the exchange rate made available through ForumPay for the period shown in its payment interface.

Cryptocurrency quotes may expire. If a quote expires before payment is properly submitted, ForumPay may calculate a new amount or treat a later payment as a payment error.

You are responsible for:

• Selecting the correct supported digital asset.

• Using the exact blockchain network displayed by ForumPay.

• Sending payment to the exact payment address displayed.

• Sending the complete amount requested within the permitted payment period.

• Paying any blockchain network fee charged by your wallet or network in addition to the amount required for the order.

• Reviewing all wallet and transaction details before authorizing the transfer.

Sending an unsupported asset, using an incorrect blockchain network, sending funds to an incorrect address, sending an incorrect amount, or paying after the displayed payment period may result in delay, loss, cancellation, underpayment, overpayment, or the need for manual review.

Submission of a blockchain transaction does not by itself constitute completed payment or order acceptance. Payment is considered completed only after ForumPay provides the confirmation or payment status required by ELYSOMA.

Blockchain transactions are generally final and irreversible once transmitted. A cryptocurrency payment cannot ordinarily be canceled, reversed, or charged back through the blockchain by the purchaser.

This finality does not eliminate any refund or other remedy expressly approved under our Returns & Refund Policy or required by applicable law. Any approved cryptocurrency refund is a separate transaction and not a reversal of the original blockchain transfer.

Underpayments, overpayments, late payments, blocked transactions, and other payment errors may be accepted, rejected, canceled, or refunded according to the amount received, ForumPay’s available resolution methods, our Returns & Refund Policy, and applicable law.

ForumPay or its compliance providers may block, delay, or reject a transaction because of fraud, sanctions, wallet-screening, identity-verification, legal, or compliance concerns. ELYSOMA may cancel or hold the related order as appropriate.

Verification and Payment Disputes

We may use fraud-prevention tools or request additional verification before accepting or shipping an order. Failure to provide reasonably requested verification may result in delay or cancellation.

If you believe a payment or order is incorrect, contact support@elysoma.com promptly so we can investigate.

Nothing in these Terms limits a legitimate right to dispute an unauthorized or otherwise legally disputable transaction. However, knowingly initiating a false, fraudulent, or unwarranted payment dispute or chargeback may result in account suspension, cancellation of pending orders, submission of relevant transaction evidence to the payment provider or financial institution, and lawful collection of amounts properly owed.

9. Shipping, Delivery, and Risk of Loss

Shipping Area

We ship only to eligible addresses within the United States that we elect to serve. We do not offer international shipping.

You may not use a freight forwarder or otherwise export or re-export Products without our prior written authorization and full compliance with applicable law.

Shipping Address

You are responsible for providing a complete and accurate delivery address. We are not responsible for delays or losses caused by an incomplete, incorrect, outdated, or undeliverable address supplied by you.

If a shipment is returned because of an address error, refusal, failure to retrieve the package, or another circumstance attributable to the recipient, any reshipment or refund may be reduced by the original shipping charge, return charge, address-correction charge, and reasonable reshipping costs, to the extent permitted by law.

Processing and Delivery Estimates

Processing and delivery dates are estimates unless expressly identified as guaranteed. Carrier scans, tracking updates, and estimated delivery dates are controlled by the carrier and may be delayed or inaccurate.

If we cannot ship within the time stated at purchase—or within the period required by applicable law—we will provide any delay notice, cancellation option, consent request, or refund required by law.

Risk of Loss

Unless applicable law or a specific written shipping term provides otherwise, each order is a shipment contract.

To the fullest extent permitted by law, risk of loss passes to you when a correctly addressed and reasonably packaged shipment is properly delivered to the carrier.

After proper delivery to the carrier, ELYSOMA is not responsible for carrier delays, loss, theft, misdelivery, delivery to an incorrect location by the carrier, weather-related events, or transit damage, except to the extent:

• The problem was caused by our failure to package or address the shipment as agreed.

• We expressly accepted responsibility under a written shipping-protection policy.

• Applicable law requires otherwise.

We may, as a courtesy, assist with a carrier inquiry or claim. Such assistance does not constitute an admission of liability or guarantee that the carrier will approve the claim, locate the shipment, or provide compensation.

If tracking shows a package as delivered but you cannot locate it, promptly check the delivery area and contact the carrier before contacting us.

Inspection and Reporting

Inspect your shipment promptly after delivery.

Visible transit damage, missing items, or incorrect items must be reported to support@elysoma.com within 48 hours after delivery. Include:

• Your order number.

• A description of the issue.

• Photographs of the shipping container.

• Photographs of the label, packaging, and affected Product.

• Any other information reasonably needed to investigate.

Keep all original packaging until the matter is resolved. Failure to provide timely notice or preserve relevant packaging may prevent us or the carrier from verifying the claim.

Nothing in this section eliminates rights or remedies that cannot lawfully be waived.

10. Returns, Refunds, Replacements, and Cancellations

Due to the nature of research materials and the inability to verify storage, handling, or chain of custody after delivery, all sales are final except where applicable law requires otherwise or where we expressly approve a remedy.

We generally cannot accept Products that have been delivered and returned to our control. Do not send anything back without written authorization. Unauthorized returns may be refused or disposed of and may not qualify for a refund or credit.

An order-cancellation request is not guaranteed. If the order has entered processing, packing, label creation, shipment preparation, or carrier possession, we may be unable to cancel it.

If you receive an incorrect Product, a visibly damaged Product, or an incomplete order, contact us within the reporting period in Section 9.

After reviewing the available information, we may provide an appropriate remedy, which may include:

• Replacing the affected Product.

• Issuing store credit.

• Refunding the affected Product.

• Requesting additional evidence or return authorization.

• Providing another resolution agreed to in writing.

The remedy will be determined based on the circumstances, available evidence, payment method, and applicable law.

Original shipping charges and expedited shipping fees are nonrefundable unless the problem resulted from our error or a refund is otherwise required by law.

Pay by Bank or ACH Refunds

When technically supported, an approved refund for a Link Money payment may be issued as an electronic credit through Link Money to the bank account associated with the original transaction.

Submitting an ACH refund does not guarantee immediate availability. Processing and posting times depend on Link Money, participating financial institutions, banking days, and the status of the original transaction.

If the original payment method cannot accept the refund, we may use another lawful method.

Cryptocurrency Refunds

A cryptocurrency payment cannot be reversed on the blockchain. Any approved refund is a new and separate transaction.

When a cryptocurrency refund remains available through ForumPay, the refund may be processed through ForumPay. If the original cryptocurrency has already been converted or settled and a direct ForumPay refund is no longer available, ELYSOMA may issue a separate cryptocurrency transaction or use another lawful refund method.

Before a cryptocurrency refund can be processed, you may be required to provide and verify a valid wallet address that supports the digital asset and blockchain network selected for the refund.

You are responsible for checking the accuracy and compatibility of the wallet address and network you provide. Once a refund is sent to the address you supplied, the transaction cannot be reversed or redirected. ELYSOMA is not responsible for loss caused by an incorrect or incompatible address or network supplied by you, except to the extent applicable law provides otherwise.

Approved refund amounts are determined in U.S. dollars. If a refund is delivered in cryptocurrency, the quantity of cryptocurrency received may be calculated using the exchange rate available when the refund is processed and may differ from the quantity originally paid.

Applicable blockchain network or processor fees may be displayed before a cryptocurrency refund is issued and may affect the final amount received, except where ELYSOMA is required by law or expressly agrees to cover those fees.

Carrier-related loss, theft, delay, misdelivery, or damage remains governed by Section 9 and any shipping-protection terms displayed at checkout.

11. Storage, Handling, and Research Safety

You are responsible for reviewing available Product documentation and establishing appropriate procedures for receipt, storage, handling, testing, access control, and disposal.

You acknowledge that research materials may present known or unknown hazards and may be affected by temperature, light, moisture, contamination, time, or improper handling.

ELYSOMA is not responsible for degradation, contamination, loss of stability, or other damage occurring after delivery due to:

• Improper storage or handling.

• Opening, reconstitution, dilution, transfer, or alteration.

• Use beyond an appropriate stability period.

• Exposure to unsuitable temperatures or conditions.

• Failure to follow accepted laboratory practices.

• Use by an unqualified or unauthorized person.

You are responsible for maintaining appropriate records and preventing access by children, animals, or unauthorized individuals.

12. Acceptable Use of the Site

You may use the Site only for lawful purposes. You may not:

• Submit false, misleading, or fraudulent information.

• Impersonate another person or organization.

• Attempt to bypass age, identity, payment, quantity, or geographic restrictions.

• Interfere with the Site’s security or operation.

• Introduce malware, harmful code, or automated attacks.

• Scrape, copy, harvest, or commercially exploit Site content without authorization.

• Attempt to gain unauthorized access to accounts, systems, or data.

• Use the Site to violate any law or third-party right.

• Assist another person in prohibited conduct.

We may investigate suspected violations and cooperate with payment providers, carriers, regulators, or law-enforcement authorities when reasonably necessary or legally required.

13. Intellectual Property

The Site and its contents—including the ELYSOMA name, logos, graphics, photographs, designs, text, product descriptions, documents, page layouts, and software—are owned by or licensed to ELYSOMA and are protected by intellectual-property laws.

We grant you a limited, revocable, nonexclusive, nontransferable license to access the Site for personal or internal organizational use related to legitimate research purchases.

You may not reproduce, distribute, modify, create derivative works from, publicly display, sell, license, or commercially exploit Site content without our prior written authorization.

Any feedback or suggestions you voluntarily provide may be used by ELYSOMA without restriction or compensation, provided that doing so does not grant us ownership of your preexisting intellectual property.

14. Third-Party Services and Links

The Site may rely on or link to third-party providers, including Link Money, ForumPay, and providers of hosting, email, security, shipping, account, ecommerce, financial, data-access, fraud-prevention, compliance, and technical services.

We do not control and are not responsible for a third party’s independent websites, systems, availability, security, content, terms, privacy practices, payment decisions, or service interruptions.

A link or integration does not necessarily constitute an endorsement. Your dealings with a third party may be governed by that party’s separate terms and policies.

15. Privacy and Electronic Communications

Our collection, use, disclosure, and protection of personal information are described in our Privacy Policy.

By creating an account or placing an order, you consent to receive transactional electronic communications, including account notices, order confirmations, payment notices, verification requests, shipping notices, policy notices, and customer-support messages.

Transactional messages are not marketing messages and may be necessary to service your account or order.

If we offer marketing communications, you may unsubscribe using the instructions provided. Unsubscribing from marketing does not prevent us from sending necessary transactional or legal communications.

You agree that electronic agreements, notices, disclosures, authorizations, and records satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

16. Warranty Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, ITS CONTENT, AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

Except for an express written specification applicable to a particular Product or lot, ELYSOMA disclaims all express, implied, and statutory warranties, including warranties of:

• Merchantability.

• Fitness for a particular purpose.

• Title.

• Noninfringement.

• Accuracy.

• Availability.

• Uninterrupted or error-free operation.

• Suitability for any particular experiment or research outcome.

ELYSOMA does not warrant that a Product will produce any particular result or be suitable for your specific research protocol.

You are solely responsible for determining a Product’s suitability, lawfulness, and compatibility with your intended research.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the fullest extent permitted by law.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ELYSOMA AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES.

This exclusion includes loss of profits, revenue, data, goodwill, research, materials, opportunity, or business operations arising from or related to:

• The Site.

• An account or order.

• A Product.

• A carrier or delivery event.

• A third-party payment provider, bank, financial institution, wallet, blockchain, exchange rate, or payment transaction.

• Improper storage, handling, transfer, or disposal.

• Prohibited human or animal use.

• Reliance on Site content or third-party information.

To the fullest extent permitted by law, ELYSOMA’s total aggregate liability arising from a Product or order will not exceed the amount actually paid to ELYSOMA for the specific Product or order giving rise to the claim.

These limitations apply regardless of the legal theory asserted and even if the possibility of damages was disclosed.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability to the extent caused by fraud, willful misconduct, or any other conduct for which limitation is prohibited by applicable law.

18. Indemnification and Events Beyond Our Control

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless ELYSOMA and its members, managers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from or related to:

• Your prohibited or improper use of a Product.

• Human or animal administration or consumption.

• Your breach of these Terms.

• Your violation of applicable law.

• Your negligence or willful misconduct.

• Your resale, transfer, relabeling, repackaging, or distribution of a Product.

• Your infringement of another person’s rights.

This obligation does not apply to the extent a claim was caused by an indemnified party’s fraud, gross negligence, willful misconduct, or other conduct for which indemnification is prohibited by law.

ELYSOMA will not be liable for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fires, epidemics, war, terrorism, labor disputes, carrier disruptions, transportation interruptions, government action, utility failures, cyberattacks, supplier interruptions, or shortages.

This provision does not eliminate any cancellation, notice, or refund obligation imposed by applicable law.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Before filing a legal claim, you and ELYSOMA agree to make a reasonable good-faith effort to resolve the dispute informally.

A written description of the dispute and requested resolution should be sent to support@elysoma.com. The parties will have 30 days after receipt to attempt an informal resolution.

If a dispute cannot be resolved informally, it must be brought in a court of competent jurisdiction located in Webb County, Texas, or in a federal court serving Webb County, unless applicable law requires another location.

Each party consents to personal jurisdiction in those courts and waives objections to venue to the extent permitted by law.

Nothing in this section prevents either party from seeking temporary or emergency relief where necessary to prevent immediate harm or from exercising a right that cannot legally be waived.

20. Suspension and Termination

We may suspend or terminate an account, refuse service, cancel pending orders before acceptance, or restrict Site access when we reasonably believe that:

• These Terms have been violated.

• Information provided is false or misleading.

• Fraudulent or unauthorized activity has occurred.

• A Product may be used unlawfully or unsafely.

• Continued service presents a security, legal, payment, or compliance risk.

You may stop using the Site at any time and may request account closure, subject to our lawful record-retention obligations.

Provisions that by their nature should survive termination—including payment obligations, intellectual-property provisions, warranty disclaimers, liability limitations, indemnification, and dispute provisions—will survive.

21. Changes to These Terms

We may update these Terms to reflect changes in our practices, Products, payment providers, technology, or legal obligations.

Updated Terms will be posted on the Site with a revised “Last Updated” date. Material changes may also be communicated through the Site, your account, or email.

Changes apply prospectively when they become effective and will not alter the terms governing a completed purchase except where required by law or expressly agreed.

Your continued use of the Site after updated Terms become effective constitutes acceptance of the updated Terms.

22. General Provisions

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written authorization. We may assign these Terms as part of a merger, acquisition, reorganization, asset transfer, or other lawful business transaction.

Entire Agreement

These Terms and the policies incorporated by reference constitute the entire agreement between you and ELYSOMA concerning the Site and purchases, superseding prior communications concerning the same subject.

Severability

If any provision is determined to be invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

No Waiver

A failure or delay in enforcing a provision does not waive the right to enforce it later.

Headings

Headings are provided for convenience and do not affect interpretation.

No Third-Party Beneficiaries

These Terms do not create enforceable rights for anyone other than you and ELYSOMA, except for parties expressly protected by the warranty, liability, or indemnification provisions.
